Refund, Return, and Order Error Policy

Effective Date: July 1, 2026

1.  Policy Statement

All products sold by kadara™ Medical Corporation are final sale and non-refundable, except where kadara™ Medical Corporation verifies that it made an error in fulfilling, shipping, or processing the order.

If kadara™ Medical Corporation verifies an order error, the affected item is eligible for a refund. kadara™ Medical Corporation may also correct the order by sending the correct product, issuing an approved credit, replacing the affected item, or providing another written resolution consistent with this policy and applicable law.

2.  Scope of Products and Ordering Channels

This policy applies to all products sold by kadara™ Medical Corporation, including Disposable Trocar Kits, Reusable Trocar Sets, Add-On Bundles, TUTTI™ products, and any current or future kadara™ Medical Corporation products.

This policy applies whether products are sold individually, in kits, in cases, in bundles, by sales order, by invoice, by phone, by email, through a sales representative, through online checkout, or through any other ordering channel.  It applies whether a product is sterile or non-sterile, disposable or reusable, individual, case-packed, custom-configured, or otherwise configured.

Business day

Monday through Friday, excluding federal holidays and any day kadara™ Medical Corporation is closed for business.

Customer receipt

The date the order is marked delivered by the carrier, received by the customer, clinic, office, staff member, mailroom, or other authorized recipient, or otherwise made available for pickup or delivery.

kadara™ Medical Corporation order error

A verified fulfillment, shipping, or processing error caused by kadara™ Medical Corporation, not by the customer, carrier, third-party address entry, customer-selected order details, or customer-provided information.

Prepaid return shipping label

A return shipping label issued by kadara™ Medical Corporation after kadara™ Medical Corporation verifies that a return is required because of a kadara™ Medical Corporation order error.

Return Authorization

kadara™ Medical Corporation's written authorization permitting a specific product to be returned under this policy.

Product quality concern

A report that a product, label, packaging, lot, shipment, or related material may not meet applicable specifications, labeling, quality, or safety expectations. Product quality concerns are reviewed through kadara™ Medical Corporation's quality process and do not automatically create a refund right.

4.  All Sales Are Final

All kadara™ Medical Corporation products are final sale. kadara™ Medical Corporation does not accept returns, exchanges, credits, cancellations, refunds, or restocking requests after an order has been processed, fulfilled, shipped, or delivered, except where kadara™ Medical Corporation verifies that the order was shipped, fulfilled, or processed in error by kadara™ Medical Corporation.

Products may not be returned for general resale, restocking, convenience, customer preference, over-ordering, change of mind, lack of need, practitioner preference, clinic inventory management, product expiration after receipt, or customer ordering mistakes.

kadara™ Medical Corporation products may be subject to medical-device quality controls, handling controls, packaging requirements, lot control, traceability, customer qualification requirements, and safety restrictions.  For those reasons, product returns are limited to verified kadara™ Medical Corporation order errors and any non-waivable rights required by applicable law.

5.  Sole Refund Exception: Verified Order Error

kadara™ Medical Corporation will review a refund, replacement, credit, or order correction request only when the customer believes kadara™ Medical Corporation made an error in fulfilling, shipping, or processing the order.

If kadara™ Medical Corporation verifies the error, the affected item is eligible for a refund. kadara™ Medical Corporation may also resolve the error by shipping the correct item, issuing an approved credit, replacing the affected item, refunding the affected item, or providing another written resolution approved by kadara™ Medical Corporation and accepted where required by applicable law.

• Wrong product shipped by kadara™ Medical Corporation.

• Wrong product size, material, configuration, glove variation, kit type, bundle, SKU, or item variation shipped by kadara™ Medical Corporation.

• Incorrect quantity shipped by kadara™ Medical Corporation.

• Duplicate shipment caused by kadara™ Medical Corporation.

• Product charged but not shipped.

• Shipment sent to the wrong address due solely to kadara™ Medical Corporation’s fulfillment error.

• Other documented fulfillment, shipping, or processing error verified by kadara™ Medical Corporation.

6.  Items and Situations Not Eligible

The following are not eligible for return, exchange, credit, cancellation, or refund unless applicable law requires otherwise or kadara™ Medical Corporation agrees in writing.

• Customer ordered the wrong product, size, material, configuration, glove variation, kit type, bundle, SKU, case quantity, or quantity.

• Customer provided an incorrect shipping address, billing address, recipient name, delivery location, email address, phone number, account information, or customer qualification information.

• Customer selected the wrong shipping method or did not review shipping charges before submission.

• Customer no longer needs the product, over-ordered, ordered excess inventory, changed mind, or experienced practitioner preference or clinic inventory changes.

• Customer did not review product descriptions, SKUs, case quantities, order details, price, shipping method, or checkout information before purchase.

• Product was opened, used, altered, damaged, relabeled, resterilized, repackaged, transferred, discarded, or removed from original packaging after receipt.

• Product packaging, labels, lot numbers, inserts, shipping materials, photographs, or documentation are missing or unavailable for review.

• Product was returned without prior written authorization from kadara™ Medical Corporation.

• Customer contacted kadara™ Medical Corporation after the five-business-day notice period, unless applicable law requires otherwise or kadara™ Medical Corporation agrees in writing.

• Carrier delay, weather delay, missed delivery, refused delivery, mailroom delay, or delivery issue not caused by kadara™ Medical Corporation.

• Any other reason not expressly approved in writing by kadara™ Medical Corporation under this policy.

7. Five-Business-Day Notice Requirement

If you believe kadara™ Medical Corporation made an error with your order, you must contact customer service within five business days of customer receipt to request order-error review and, if applicable, a prepaid return shipping label from kadara™ Medical Corporation.

Failure to contact kadara™ Medical Corporation within five business days of customer receipt may result in denial of the request, unless applicable law requires otherwise or kadara™ Medical Corporation agrees in writing.

8.  Information Required for Order-Error Review

To evaluate an alleged kadara™ Medical Corporation order error, the customer should provide the information below.  Do not open, use, discard, transfer, relabel, resterilize, repackage, or return any product unless kadara™ Medical Corporation instructs you to do so in writing.

• Order number, invoice number, purchase order number, or other transaction identifier.

• Customer, practitioner, clinic, or account name.

• Date the order was received.

• Product name, SKU, size, material, configuration, glove variation, kit type, lot number, and quantity at issue.

• Photographs of the outer shipping box, shipping label, packing slip, product packaging, product labels, affected item received.

• A clear written explanation of the alleged kadara™ Medical Corporation order error.

• Any additional information reasonably requested by kadara™ Medical Corporation for fulfillment, traceability, quality, or recordkeeping review.

9.  Return Authorization and Prepaid Return Shipping Label

No product may be returned to kadara™ Medical Corporation without prior written Return Authorization from kadara™ Medical Corporation.

If kadara™ Medical Corporation determines that a return is required because of a verified kadara™ Medical Corporation order error, kadara™ Medical Corporation will issue return instructions and provide a prepaid return shipping label.  The prepaid return shipping label may be used only for the specific product and shipment authorized by kadara™ Medical Corporation.

Unauthorized returns may be refused, discarded, quarantined, or returned to sender.  An unauthorized return does not create any right to refund, credit, replacement, exchange, reimbursement, or other compensation.

kadara™ Medical Corporation will not reimburse return shipping costs unless kadara™ Medical Corporation authorized the return in writing and issued the prepaid return shipping label or otherwise agreed in writing before shipment.

10.  Refund, Replacement, Credit, or Correction After Verification

After kadara™ Medical Corporation reviews the request and verifies the order error, kadara™ Medical Corporation may issue a refund for the affected item, refund the portion of associated shipping charges attributable to the verified kadara™ Medical Corporation order error when applicable, ship the correct item at no additional charge, issue a credit for the affected item, replace the affected item, or provide another written resolution approved by kadara™ Medical Corporation and consistent with applicable law.

Refunds, when approved, will generally be issued to the original payment method and processed promptly after kadara™ Medical Corporation verifies the order error and, if a return is required, receives the authorized returned product.  Actual posting time may depend on the payment processor, card issuer, financial institution, or other payment provider.

kadara™ Medical Corporation may deny a refund, replacement, credit, or correction if the customer fails to provide required information, fails to preserve the product and packaging, returns the product without authorization, returns the product outside authorized instructions, or fails to cooperate with reasonable traceability, fulfillment, or quality review requests.

11.  Damaged Shipments, Missing Items, and Product Quality Concerns

If an order appears damaged in transit, incomplete, mislabeled, incorrect, or otherwise potentially affected by a product-quality issue, contact customer service within 5 business days of the customer's receipt using the contact methods provided on the company website or by phone at 775-297-4778.

kadara™ Medical Corporation may request photographs, lot information, packaging information, quarantine or return of the product, or other information needed to evaluate the issue.

Product-quality concerns may be reviewed under kadara™ Medical Corporation’s quality system, complaint-handling, traceability, corrective action, correction, removal, or recall processes, as applicable.  Reporting a product-quality concern does not automatically create a refund, return, exchange, or credit right. kadara™ Medical Corporation will evaluate the issue and determine the appropriate corrective action in accordance with applicable law, quality requirements, and company procedures.

12.  Shipping Delays, Backorders, and Unshipped Items

kadara™ Medical Corporation will use commercially reasonable efforts to ship orders within the stated shipping timeframe.  If no timeframe is stated, kadara™ Medical Corporation will apply the default timeframe required by applicable law.

If kadara™ Medical Corporation cannot ship an order or part of an order within the promised or applicable timeframe, kadara™ Medical Corporation may contact the customer regarding the delay. It may offer delayed shipment, cancellation, substitution, backorder, or refund of unshipped merchandise, as applicable.

Nothing in this policy limits kadara™ Medical Corporation’s obligation to refund unshipped merchandise when required by applicable law or payment-network rules.

13.  Recalls, Corrections, Removals, and Non-Waivable Rights

This policy does not limit kadara™ Medical Corporation’s ability or obligation to conduct a recall, correction, removal, product hold, quality investigation, field action, complaint investigation, or other action required or permitted by applicable law, FDA requirements, quality system procedures, or customer safety considerations.

Nothing in this policy is intended to limit any warranty, refund, recall, complaint, product-safety, shipment-delay, chargeback, or other right that cannot be waived under applicable law.  If any portion of this policy conflicts with applicable law, applicable law controls, and remaining portions of this policy remain in effect.

14.  Customer Responsibility

By placing an order with kadara™ Medical Corporation, the customer is responsible for reviewing all order details before submission, including product name, SKU, size, material, configuration, glove variation, bundle, TUTTI™ product details, quantity, case quantity, shipping address, shipping method, billing information, account information, and customer qualification information.

Submission of an order confirms acceptance of this Refund, Return, and Order Error Policy.

15.  Policy Updates

kadara™ Medical Corporation may update this policy from time to time.  The policy version posted or provided at the time of purchase will generally apply to that purchase, unless applicable law requires otherwise or kadara™ Medical Corporation states otherwise in writing.
