1. Acceptance of Terms
These Terms of Use govern access to, and use of, the company website, related pages, features, content, online resources, and any linked website functions operated by kadara™ Medical Corporation. By accessing or using the website, you agree to these Terms of Use, the Privacy Policy, the Terms of Service where applicable, and the Refund Policy where ordering, returns, credits, replacements, or refunds are involved. Do not access or use the website if you do not agree.
2. Website Content Is Informational Only
Website content is provided for general informational, educational, and business purposes only. It is not medical advice, legal advice, regulatory advice, diagnosis, treatment, or a substitute for consultation with qualified healthcare, legal, regulatory, or other professionals.
Product descriptions, technical information, ordering materials, availability statements, and other website content may be updated, corrected, restricted, or withdrawn at any time. Website content should not be relied upon as the sole basis for clinical, regulatory, purchasing, operational, or compliance decisions.
3. Eligibility and Account Information
Certain website features may require account, qualification, ordering, or contact information. You agree to provide accurate, current, and complete information, to update that information when necessary, and to keep login credentials confidential.
You are responsible for activity through your account or credentials. kadara™ Medical Corporation may suspend, restrict, or terminate access if information is inaccurate, incomplete, unauthorized, or if the website is misused.
4. Privacy, Personal Information, and Electronic Communications
The collection, use, disclosure, retention, and protection of personal information, including information handled through Shopify, Shopify Payments, Shop Pay, PayPal Wallet, eligible ACH authentication, and manual check records, are described in the Privacy Policy. Where applicable privacy laws require additional notices, choices, or rights, kadara™ Medical Corporation will provide the required notices and honor the applicable rights.
By providing contact information or using the website, you consent to receive electronic communications from kadara™ Medical Corporation, including administrative notices, transactional messages, legally required notices, and, where permitted, promotional communications. Promotional emails may be opted out of through the instructions provided in those emails; non-promotional or legally required communications may still be sent.
5. Online Orders, Checkout, and Policy Cross-References
If the website provides ordering, quoting, checkout, invoicing, shipping, account, customer-service, or support pathways, those activities are also governed by the Terms of Service, Privacy Policy, Refund Policy, and any additional terms presented for the order.
Shopify Payments is kadara™ Medical Corporation's sole merchant-facing platform for eligible electronic payments. PayPal, if displayed, is offered only as PayPal Wallet within Shopify Payments and not as a separate kadara™ Medical Corporation merchant processor. Shop Pay is an optional accelerated checkout; it is not the same as Shopify Payments or the Shop app, and PayPal Wallet is not available inside Shop Pay.
A secure Shopify invoice may display card or other enabled electronic methods. Shopify ACH Direct Debit appears only for eligible United States B2B orders paid in U.S. dollars and can remain pending for up to four business days. Check payment is available only when expressly offered in the invoice instructions and remains unpaid until received, verified, and recorded by kadara™ Medical Corporation.
All products sold by kadara™ Medical Corporation are final sale and non-refundable, except where kadara™ Medical Corporation verifies an error in order fulfillment, shipping, or processing. Refunds, credits, replacements, corrections, and returns are subject to the Refund Policy, the requirement to provide notice within five business days of the customer’s receipt, the requirement for a written Return Authorization when a return is required, and applicable law. Nothing in this section limits rights that cannot be waived under applicable law.
6. Intellectual Property and Marks
Website content, including text, graphics, logos, icons, photographs, designs, layouts, product descriptions, downloadable materials, and the selection and arrangement of those materials, is owned by kadara™ Medical Corporation or its licensors and is protected by copyright, trade dress, and other intellectual property laws.

You may use the website only for lawful purposes and in accordance with these Terms of Use. You may not interfere with website security or operation; attempt unauthorized access; introduce malicious code; scrape, harvest, or extract data except as permitted by law; misrepresent identity or affiliation; transmit unlawful, misleading, infringing, defamatory, or harmful content; or use the website in a way that violates applicable law, regulation, or third-party rights.
kadara™ Medical Corporation may investigate suspected violations and cooperate with law enforcement, regulators, Shopify and Shopify Payments, payment networks, financial institutions, wallet providers, shipping providers, or other appropriate parties when permitted or required.
8. Product Information, Regulatory Status, and Marketing Claims
Product information on the website is intended to describe kadara™ medical products or services in a general manner. It may not reflect every specification, limitation, contraindication, clearance, approval, labeling item, instruction for use, storage requirement, handling requirement, or availability restriction in every jurisdiction.
You are responsible for reviewing applicable product labeling, instructions, professional standards, procurement requirements, and regulatory requirements before purchasing, using, prescribing, recommending, or relying on any product or service. Marketing, testimonials, endorsements, reviews, or comparative statements, if used, must be truthful, not misleading, and supported as required by applicable law.

The website may refer or link to Shopify and Shopify Payments, payment networks, banks, wallet providers such as PayPal when PayPal Wallet is selected, shipping providers, analytics tools, other third-party websites, platforms, services, or content. Third-party resources are provided for convenience or to operate the website and transactions.
kadara™ Medical Corporation does not control and is not responsible for third-party content, privacy practices, terms, security, products, services, availability, or claims. Your use of third-party resources, including customer-selected payment wallets or financial institutions, is subject to the applicable third-party terms and policies. Nothing in this section changes kadara™ Medical Corporation's responsibility to administer its orders and approved refunds under its published policies and applicable law.

kadara™ Medical Corporation is committed to making the website reasonably accessible and usable. kadara™ Medical Corporation may suspend, restrict, or terminate access to the website at any time, with or without notice, if kadara™ Medical Corporation believes these Terms of Use have been violated, risk or possible legal exposure has been created, website operation or security has been affected, or the website has been used in a manner inconsistent with applicable law or business interests.
Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute-related provisions.
15. Governing Law and Venue
These Terms of Use and disputes arising from or relating to the website are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to rights that cannot be waived under applicable law, state or federal courts located in California will have jurisdiction over disputes arising from or relating to these Terms of Use or the website.
16. Changes to the Website or Terms
kadara™ Medical Corporation may modify, suspend, discontinue, or restrict any part of the website at any time. kadara™ Medical Corporation may update these Terms of Use from time to time. Updated Terms of Use will be effective when posted or otherwise made available, unless a later effective date is stated. Continued use after updated Terms of Use become effective constitutes acceptance.
17. Severability, No Waiver, and Entire Agreement
If any provision of these Terms of Use is held invalid or unenforceable, remaining provisions will remain in full force and effect. Failure to enforce a provision is not a waiver of the right to do so later. These Terms of Use, together with the Privacy Policy, Terms of Service where applicable, Refund Policy where applicable, and additional terms presented for specific website features, constitute the entire agreement regarding website use.
