1.  Acceptance of These Terms

These Terms of Service govern access to, and use of, the company website and related ordering features, account tools, communications, content, products, and services made available by kadara™ Medical Corporation.  By accessing the website, creating an account, submitting information, requesting a quote, placing an order, or using services, you agree to these Terms of Service and any additional terms presented at the time of purchase or use.  Do not use the website or place an order if you do not agree.

2.  Intended Users and Professional Responsibility

Products offered through the website are intended for purchase and use only by qualified healthcare professionals, licensed entities, authorized purchasers, or other users permitted under applicable law to purchase and use the products.

You are responsible for confirming that you and your organization satisfy all licensing, credentialing, training, prescription, supervision, storage, handling, documentation, procurement, and professional requirements applicable to purchase, possession, resale, recommendation, or use of any product.

3.  No Medical, Legal, or Regulatory Advice

Website content is provided for general informational and business purposes only.  It is not medical advice, diagnosis, treatment, legal advice, regulatory advice, or a substitute for review of product labeling, instructions for use, professional standards, or consultation with qualified clinical, legal, regulatory, or technical professionals.

You should not rely on website content as the sole basis for clinical, purchasing, operational, compliance, or regulatory decisions.

4.  Accounts, Ordering, Pricing, and Payment

You agree to provide accurate, current, and complete information when creating an account, requesting information, submitting a purchase order, or placing an order.  kadara™ Medical Corporation may accept, reject, cancel, limit, or condition any order in its discretion, including when information is inaccurate, payment cannot be verified, product availability changes, an order appears unauthorized, or an order appears inconsistent with applicable law.

Prices, product availability, specifications, shipping charges, and other terms may change before order acceptance.  You authorize kadara™ Medical Corporation or its payment processors to charge the payment method provided for approved orders and applicable charges.

5.  Shipping, Inspection, and Risk of Loss

Shipping dates and delivery estimates are not guaranteed unless expressly stated in writing.  Risk of loss and responsibility for products transfer as provided in the applicable order confirmation, invoice, shipping terms, or other written agreement.

You must promptly inspect shipments and notify kadara™ Medical Corporation of any shortages, damage, nonconforming products, or suspected product issues within five business days of the customer’s receipt, unless applicable law requires otherwise.  Product and packaging should be preserved until kadara™ Medical Corporation provides written instructions.

6.  Refund, Return, Replacement, Credit, and Order-Error Standard

All products sold by kadara™ Medical Corporation are final sale and non-refundable, except where kadara™ Medical Corporation verifies that it made an error in order fulfillment, shipping, or processing. This standard applies to products sold individually, in cases, in kits, in bundles, by invoice, by phone, by email, through a sales representative, through online checkout, or through any other ordering channel.

A verified kadara™ Medical Corporation order error may be resolved by refunding the affected item, shipping the correct item, issuing an approved credit, replacing the affected item, or providing another written resolution consistent with the Refund Policy and applicable law.  No product may be returned without prior written Return Authorization from kadara™ Medical Corporation.

Requests for order-error review must be submitted within five business days of the customer’s receipt. They must include order information, product information, photographs (where applicable), a written explanation, and any additional information reasonably requested for fulfillment, traceability, quality, or recordkeeping review.

Products are not eligible for return, exchange, credit, cancellation, or refund due to customer ordering mistakes, incorrect customer-provided information, change of mind, over-ordering, lack of need, practitioner preference, customer inventory management, expired product after receipt, opened or altered packaging, used products, unauthorized returns, carrier delays not caused by kadara™ Medical Corporation, or any other reason not expressly approved in writing.

Nothing in these Terms of Service limits rights or remedies that cannot be waived under applicable law, including rights related to unshipped merchandise, payment-network rules, recalls, corrections, removals, product-quality investigations, complaint handling, or other legally required actions.

7.  Product Information, Labeling, and Marketing Claims

Product descriptions, images, technical information, indications, intended uses, performance statements, and other materials may not include every specification, limitation, contraindication, warning, instruction, clearance, approval, or regulatory requirement.

You are responsible for reviewing applicable labeling, instructions for use, documentation, and professional standards before purchasing or using any product.  Website content may be considered labeling or promotional material under applicable medical product laws; product claims should be understood only in the context of applicable labeling and written materials supplied by kadara™ Medical Corporation.

8.  Privacy, User Data Protection, Cookies, and Electronic Communications
